Property & Developers

Accounting for property businesses — developers, investors and mixed portfolios — where every project is a stack of tax decisions: structure, VAT, SDLT, CIS and the trader-investor line that changes everything.

Property is its own accounting discipline. The same building can be trading stock or investment asset, its sale taxed completely differently depending on intention and evidence; VAT on land and buildings is the most option-riddled corner of the tax; SDLT arrives in reliefs and traps; developments run through CIS; and lenders want project numbers most bookkeeping was never structured to produce.

Acumon acts for property businesses across the cycle — site acquisition through development, letting, refinancing and disposal — with the specialisms each stage needs sitting in one firm: property VAT, SDLT, CIS payroll, and accounts built around projects rather than squeezed into a generic chart.

Structuring Deals and Development Vehicles

Property rewards structure decided before exchange: SPVs per development for risk isolation and clean exit — buyers increasingly purchase the company, not the building — group holding arrangements where portfolios sit alongside developments, joint venture structures with profit shares that work for tax as well as the spreadsheet, and the trader-versus-investor distinction established deliberately with intention documented, because it decides whether profits face income-style or capital treatment and HMRC argues it with hindsight.

VAT on Land and Buildings

Property VAT is where fortunes leak: options to tax exercised or missed with twenty-year consequences, the zero-rating of new dwellings and its documentation, the 5% rates on conversions and renovations that contractors routinely fail to apply, transfers of going concerns on let buildings, and the capital goods scheme adjusting recovery for a decade. Our property VAT specialists — several ex-HMRC — sit on transactions from heads of terms, because VAT designed in costs nothing and VAT retrofitted costs the margin.

CIS, SDLT and the Compliance Stack

Developments run on the Construction Industry Scheme — contractor registration, subcontractor verification, deductions and monthly returns, handled by our CIS payroll team. SDLT parallel-runs every acquisition: multiple dwellings, mixed-use rates, the 3% surcharge's boundaries, group and partnership reliefs — assessed before completion, when planning is still legal rather than wishful. Corporation tax adds its own property layer: ATED for companies holding dwellings, interest limitations at scale, and capital allowances mined properly on commercial builds.

Project Accounts Lenders Believe

Development finance runs on reporting: costs against appraisal by project and phase, WIP and stock valued on defensible bases, drawdown requests evidenced, and profit recognised when the accounting standards say — not when the sales office celebrates. We build project-structured accounts in your cloud platform, produce lender packs that survive monitoring surveyors, and keep the management numbers honest enough to kill a bad scheme early, which is the most profitable thing accounting ever does for a developer.

Common Questions

Frequently Asked Questions

Should each development be in its own company?
Usually, yes — the SPV-per-development model isolates risk (one failed scheme cannot drag down the others), gives lenders the clean security they prefer, and preserves the option of selling the company rather than the building, which can be commercially and fiscally attractive. The costs are multiplied admin and the need to move profits up through a holding structure sensibly. For small single-project developers the calculus can differ; we structure by the portfolio you are actually building, not by template.
What's the difference between property trading and investing for tax?
Intention, evidenced. Buying to sell — development for disposal, flips — is trading: profits face income tax or corporation tax in full, no CGT treatment, no capital reliefs. Buying to hold for rent is investment: gains on eventual sale get capital treatment. The line is drawn from facts — finance terms, marketing history, pattern of deals, stated intention at acquisition — and HMRC litigates it with hindsight when the answer suits them. Documenting intention at purchase, and structuring mixed portfolios so the two activities do not contaminate each other, is basic property hygiene.
Can we recover VAT on our development costs?
It depends entirely on what you are building and what you will do with it. New dwellings for sale: zero-rated sales with full input recovery — the good case, if documentation and contractor invoicing are right. Residential for letting: exempt income, recovery largely blocked, which changes appraisals materially. Commercial: recovery generally follows opting to tax, with twenty-year consequences and TOGC interactions on exit. Conversions and renovations bring 5% rates contractors must be made to apply. The recovery position should be designed at appraisal stage — it moves project margins by whole percentage points.
We're developers — does CIS really apply to us?
Yes — property developers are mainstream contractors under CIS the moment they pay for construction operations: verification of every subcontractor, correct deductions (0%, 20% or 30%), monthly returns with automatic penalties for lateness, and gross payment status to protect if you hold it. Investors merely getting work done on their own lettings sit outside mainstream CIS, but the boundary has traps — and the deemed contractor rules catch large non-construction businesses too. Our CIS team runs the whole scheme as part of the payroll service.
