SaaS & Software

Accounting for SaaS and software businesses — where revenue arrives as subscriptions, costs arrive as engineers, value is measured in ARR multiples, and the accounting has to serve investors as much as HMRC.

SaaS breaks conventional accounting assumptions gently but thoroughly: cash collected annually for services delivered monthly makes bank balances misleading and deferred revenue the biggest number nobody watches; the metrics that drive valuation — ARR, NRR, CAC payback — live outside the ledger unless someone builds the bridge; R&D relief matters and is now heavily policed; and every funding round audits the whole history.

Acumon works with SaaS companies from first revenue to exit: revenue recognition done properly, the metrics layer reconciled to the accounts so diligence never finds a gap, R&D claims built to survive, option schemes granted in the right order, and the compliance core handled while you ship.

Subscription Revenue, Recognised Properly

SaaS revenue recognition is timing discipline: annual prepayments spread over the service period, deferred revenue tracked as the real liability it is, setup and implementation fees assessed rather than assumed, usage components measured, and churn and upgrades handled mid-term. Getting it wrong overstates good months and detonates in diligence — recognition errors are among the commonest price-chips in SaaS deals. We implement recognition properly in your billing-to-ledger flow, so MRR in the dashboard and revenue in the accounts stop disagreeing.

The Metrics Layer, Reconciled

Investors run on ARR, NRR, gross margin, CAC payback and burn multiple — numbers the ledger does not natively produce and founders usually compute in spreadsheets that drift from the accounts. We build the bridge: metric definitions pinned down (what counts as ARR, how churn is measured), computed from the same data as the statutory numbers, reconciled monthly. When diligence compares the deck to the accounts — and it always does — the numbers agree, which is quietly one of the strongest signals a company can send.

R&D Relief and the Tax Stack

Genuine software R&D still attracts meaningful relief under the merged scheme, but HMRC now checks claims hard and software claims hardest: qualifying activity means resolving technological uncertainty, not building features, and the boundary needs arguing by people who understand both the legislation and the engineering. Our claims are built to be defended — honest scoping, evidenced costs, technical narratives answering the questions HMRC actually asks. Around it sits the rest: EMI options granted with valuations agreed in the right order, EIS/SEIS for the raise, and Patent Box where patents genuinely exist.

From Runway Reporting to Exit

SaaS boards need a reporting rhythm: monthly packs with burn, runway, ARR movements and cohort behaviour, forecasts that flex with hiring plans, and clean consolidation as US or EU entities appear around the cap table. We run it, alongside the compliance core — accounts, corporation tax, VAT with its cross-border digital-services layer, payroll with options attached. And when the exit or the growth round arrives, the diligence file is simply your ordinary records, because they were kept to that standard all along.

Common Questions

Frequently Asked Questions

Why does deferred revenue matter so much for a SaaS company?
Because annual billing makes cash arrive before it is earned: a £120k prepaid contract is one month of revenue and eleven of obligation, and the deferred balance is money you owe in service, sitting in a bank account that looks healthier than the business. Companies that spend to the bank balance discover the problem during a slow renewal quarter — or worse, a buyer's working capital negotiation, where deferred revenue is treated as debt-like and priced accordingly. Tracking it properly changes spending decisions years before it changes a deal.
Is our development work eligible for R&D relief?
Only the parts that resolved genuine technological uncertainty — where a competent professional could not readily deduce the solution. Novel architecture under real constraints, hard performance or scaling problems: plausibly. Standard implementation with modern frameworks, UI work, integration by documented APIs: generally not, however commercially valuable. HMRC treats software claims as its enforcement priority, so the honest scoping we insist on is not caution for its own sake — a defensible smaller claim beats a repayable larger one, every time.
Do we charge VAT on subscriptions sold overseas?
It depends on who and where the customer is: B2B sales to overseas businesses generally fall outside UK VAT under place-of-supply rules (with evidence of business status kept), B2C sales to EU consumers owe VAT where the consumer lives — handled through the non-union OSS scheme rather than per-country registrations — and other territories have their own digital-services regimes that bite at various thresholds. Billing platforms handle some of this if configured correctly, which they frequently are not. We map your customer base and set the configuration once, properly.
What financial state should we be in before raising a round?
Diligence-ready as a steady state: recognition policy written and applied, deferred revenue reconciled, metrics that tie to the ledger, cap table matching Companies House, options granted with valuations in order, R&D claims defensible, taxes current. Rounds are lost less often on trading performance than on wreckage — a metric that collapses under reconciliation, options granted informally, VAT never registered in a market you sell into. The preparation is not a pre-raise sprint; it is bookkeeping done properly from the start, which costs surprisingly little more.
