Recruitment Agencies

Accounting for recruitment businesses — perm, temp and contract desks — where the model runs on other people's payroll, margins hide inside contractor rates, and the compliance chain (IR35, umbrellas, agency rules) now carries agency-side liability.

Recruitment agencies are financially unusual: revenue that mixes clean perm fees with temp margins buried in gross billings, cash cycles where contractors are paid weekly while clients pay in 45 days, invoice finance as standard plumbing rather than distress, and a regulatory stack — off-payroll rules, the agency legislation, umbrella due diligence with liability moving up the chain — that has made compliance a commercial weapon clients select agencies on.

Acumon serves agencies across the model: accounts that show desk-level truth, temp payroll and contractor payment run properly, IR35 and umbrella compliance built into process, and the funding relationships managed with numbers funders trust.

Perm, Temp and the Real Margin

Agency accounts mislead by default: temp billings inflate revenue while the money mostly passes through to contractor pay, perm fees land lumpily with clawback risk under rebate terms, and blended figures hide which desks earn. We structure the accounts to show it honestly — net fee income by desk and consultant, temp margins after true contractor cost, perm accrued with rebate provisions that reflect actual fall-off rates — because NFI per head is the number the whole industry manages on, and it deserves to be computed properly.

Contractor Pay, IR35 and the Umbrella Question

Agencies sit mid-chain in the off-payroll regime: status determinations flow down from clients, fee-payer liability can land on the agency, and umbrella arrangements — under long-overdue regulatory tightening, with PAYE responsibility in umbrella chains moving to agencies from April 2026 — demand real due diligence, not a certificate in a drawer. We build the compliance machinery: determination handling, PSC contractor payment done correctly, umbrella vetting that would survive an HMRC review, and the payroll itself through our CIPP-qualified team where you run temps in-house.

Cashflow and Invoice Finance

The temp model's structural gap — contractors paid Friday, clients paying next month — makes working capital the growth constraint, and invoice finance the sector's standard answer. We keep the funding working: clean ledgers that maximise availability, reconciliations between funder statements and the accounts (a chronic mess when unmanaged), concentration and dilution watched before the funder raises them, and forecasting that shows what a big new temp contract really demands in cash before you celebrate winning it.

VAT, Growth and Exit Multiples

Agency VAT has sector quirks — VAT on the full billing versus margin questions in staffing supply chains, the temporary workers' concessions history, international placements' place-of-supply — which we keep right as the mix changes. As agencies scale, we add the infrastructure buyers eventually diligence: management accounts by desk, contractor book analysis, clean compliance files. Recruitment exits price on NFI quality and compliance cleanliness; both are built years before the sale, which is exactly when we build them.

Common Questions

Frequently Asked Questions

What is changing with umbrella companies and agency liability?
From April 2026, responsibility for operating PAYE correctly in umbrella chains moves to the recruitment agency that contracts with the end client (or the client where there is no agency) — meaning an umbrella's failures become your tax bill, not just your reputational problem. Agencies need genuine due diligence now: verifying umbrellas' PAYE operation, watching for mini-umbrella fraud patterns, contractual protections, and concentration limits per umbrella. We build the vetting framework and the evidence file — because 'they had an accreditation logo' will not be a defence.
Can you run our temp payroll, or should we use an umbrella?
Both models work; the economics and risk profiles differ. In-house temp payroll through our CIPP team gives you margin control, direct compliance ownership and freedom from umbrella-chain risk — at the cost of running real payroll operations weekly. Umbrellas outsource the employment but, from 2026, not the PAYE liability, so the due diligence burden rises either way. Mid-sized agencies increasingly bring temp payroll in-house for exactly this reason; we run the numbers for your book and set up whichever wins.
Our invoice finance availability never matches what we expect. Why?
Availability leaks through the funder's rules meeting a messy ledger: aged invoices dropping out of eligibility, concentration caps on your biggest client biting silently, dilution from credit notes and rebates eroding the pool, and unreconciled differences between the funder's ledger and yours making everything worse. We keep the sales ledger funder-clean, reconcile the accounts monthly, and manage the metrics — often recovering meaningful headroom without changing funder, and putting you in a position to renegotiate the facility from strength.
What do buyers of recruitment agencies actually pay for?
Durable net fee income and clean compliance, in that order: contract and temp books with spread client bases price better than perm-dependent or concentrated ones; NFI by desk with consultant-level attribution survives diligence where blended revenue does not; and the compliance file — IR35 processes, umbrella vetting, agency regulations — has become a price factor because buyers inherit the liabilities. Everything on that list is built during ordinary operations, which is why exit preparation in this sector is really just running the agency properly, visibly, for two years.
